By accessing UniLedger.app or using UniLedger applications and services (“Service”), you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
UniLedger.app (“UniLedger”, “we”, “us”, or “our”) may update these Terms as the Service develops. The current version will be available at https://uniledger.app/terms-of-service.
1. Using UniLedger
You must use UniLedger only for lawful purposes and in accordance with applicable laws.
You are responsible for maintaining the security of your profile, credentials, devices, encryption keys, backups, and other means of accessing your data.
You are responsible for the information, documents, transactions, accounting records, and other content you create, import, or process using UniLedger.
2. Your Financial Data
UniLedger is designed as a local-first service. Your accounting and financial data is stored on your device by default rather than in a central UniLedger cloud database.
You retain ownership and control of your financial data and other content you provide to UniLedger.
Some optional features may require information to leave your device, including AI-assisted document processing, encrypted backups, e-invoicing, payments, or third-party integrations. Such processing is described in our Privacy Policy.
3. Backups and Data Responsibility
You are responsible for maintaining appropriate backups of your data.
Where UniLedger provides encrypted backups, synchronization, or recovery features, you are responsible for securely maintaining any encryption keys, credentials, recovery information, or devices required to access them.
If you lose the only available copy of your data or the encryption key required to access an encrypted backup, UniLedger may be unable to recover that data.
4. Accounting and Financial Information
UniLedger provides tools for recording, organizing, processing, and reporting financial information.
The Service may automatically generate accounting entries, reports, calculations, classifications, exchange-rate calculations, or other outputs based on your data and selected rules.
You remain responsible for reviewing the accuracy and suitability of your records and outputs.
UniLedger is not a substitute for professional accounting, tax, legal, investment, or financial advice. You are responsible for determining whether your use of the Service complies with laws, accounting standards, tax requirements, and reporting obligations applicable to you.
5. AI-Assisted Features
UniLedger may use artificial intelligence to extract information from receipts, invoices, and other documents or to prepare suggested accounting entries and classifications.
AI-generated or AI-extracted information may contain errors. You are responsible for reviewing and confirming information before relying on it or posting it to your accounting records.
UniLedger does not guarantee that AI-generated results will be complete, accurate, or suitable for a particular purpose.
6. E-Invoicing and Third-Party Integrations
UniLedger may integrate with government e-invoicing systems, banks, payment providers, storage services, and other third-party platforms.
When you use an integration, you authorize UniLedger to transmit the information necessary to perform the operation you requested.
Third-party services are governed by their own terms, availability, technical requirements, and legal obligations. UniLedger is not responsible for failures, changes, interruptions, or actions of independent third-party services.
7. Payments and Subscriptions
Some UniLedger features may require a paid subscription or other payment.
Prices, billing periods, renewal conditions, cancellation options, and any applicable refund terms will be shown before purchase.
Payments may be processed by third-party payment providers or app stores and may also be subject to their terms.
Changes to subscription prices will apply in accordance with applicable law and any notice provided to you.
8. Cancellation and Termination
You may stop using UniLedger or cancel a subscription according to the options available through the Service or the payment provider through which it was purchased.
Cancellation of a subscription does not necessarily delete financial data stored locally on your device or backups stored in locations you control.
You may delete locally stored data using the functionality provided by UniLedger or your device.
We may suspend or terminate access to online components of the Service where reasonably necessary because of unlawful use, abuse, security risks, material violation of these Terms, or legal requirements.
9. Intellectual Property
Your financial records, documents, and other content remain yours.
The UniLedger software, website, design, branding, documentation, and other materials provided by us are owned by UniLedger or its licensors and are protected by applicable intellectual property laws.
Unless expressly permitted, you may not copy, modify, distribute, sell, reverse engineer, interfere with, or exploit the Service in violation of applicable law or these Terms.
10. Changes to the Service
UniLedger is an evolving product. We may add, modify, replace, or discontinue features as the Service develops.
We may also change technical requirements, supported integrations, pricing, or availability.
Where required by law or where a change materially affects a paid Service, we will provide appropriate notice.
11. Service Availability
The Service is provided on an “as is” and “as available” basis to the extent permitted by law.
We work to keep UniLedger reliable and secure, but we do not guarantee that the Service will always be uninterrupted, error-free, or available on every device or platform.
We do not guarantee that calculations, imported information, AI results, third-party data, exchange rates, or other outputs will always be accurate or complete.
12. Limitation of Liability
To the maximum extent permitted by applicable law, UniLedger will not be liable for indirect, incidental, special, consequential, or similar losses resulting from your use of or inability to use the Service.
This may include loss of data, profits, business opportunities, or financial records.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

14. Changes to These Terms
We may update these Terms as UniLedger develops or where changes are required because of new functionality, legal requirements, business practices, or third-party services.
The latest version will be published on this page together with the date of the most recent revision.
Your continued use of the Service after updated Terms become effective constitutes acceptance of those Terms where permitted by applicable law.
15. Language
The English version of these Terms of Service is the authoritative version. Any translations into other languages are provided for convenience and informational purposes only. In the event of any inconsistency or conflict between the English version and a translation, the English version shall prevail.
